1. Recitals and Legal Framework
- 1.1. Platform Ownership: This website and its integrated transactional sub-domains are operated globally by New Line Distribution Sdn Bhd, acting as the intellectual property, digital commerce, and platform licensing hub for the Ding DingKing brand.
- 1.2. Contractual Scope: These Terms and Conditions of Sale (“Terms”) constitute a legally binding agreement between the ordering individual or corporate entity (“Customer,” “Buyer,” “you”) and the designated Seller of Record. These Terms govern all digital orders, cross-border payments, and fulfillment sequences executed through this storefront.
- 1.3. Seller of Record Definition: For all international orders routed through this digital platform, the Seller of Record is defined as the operating brand licensing entity (New Line Distribution Sdn Bhd, Malaysia) or its designated regional operational affiliate platform.
2. Geographical Restrictions and the Taiwan Distributor Firewall
- 2.1. Strict Exclusion of Taiwan: This e-commerce platform is dedicated exclusively to international fulfillment outside the territory of Taiwan. Due to mandatory structural separation and the protection of local channel exclusivity, this platform does not process, accept, or execute orders intended for delivery within Taiwan.

Rest of the World (All Other Authorized Destinations): For all other authorized international jurisdictions outside China, Hong Kong, and Taiwan, the Customer explicitly assumes the role of Importer of Record. The Customer holds exclusive legal responsibility for navigating regional import clearance protocols and settling all local customs tariffs, excise actions, brokerage charges, and country-specific taxes at the point of entry.
- 3.3. Non-Delivery Due to Customs Failures (Excluding China/HK): For destinations outside China and Hong Kong, DDK assumes zero liability if a courier shipment is delayed, impounded, returned, or destroyed by foreign customs officials due to the Customer’s failure to settle regional border clearance fees or satisfy localized sanitary or certification prerequisites. No refunds will be authorized under these circumstances.
4. Risk Transfer Parameters and Passing of Title
- 4.1. Risk Framework for China and Hong Kong: In complete alignment with our enhanced logistics guarantees for China and Hong Kong, DDK retains full transit liability, economic risk, and legal title of the luxury goods throughout international air freight, warehouse handling, and local cross-border shipping. Risk of degradation, product thawing, and title passes to the Customer only at the exact moment of physical delivery and receipt verification at the Customer’s designated target address.
- 4.2. Risk Framework for the Rest of the World: For all other authorized international delivery zones, risk of physical loss, thermal degradation, or package damage transfers completely to the Buyer at the exact moment the items are handed over to the initial international transport courier at DDK’s Malaysian operational facilities.
5. Pricing Mechanics and Currency Boundaries
- 5.1. Standard Currency Matrix: All standard prices listed on this digital platform are denominated in US Dollars (USD) or alternative fiat denominations explicitly selected by DDK’s central processing interface.
- 5.2. Foreign Exchange Fluctuations: Any financial variances, banking conversion fees, credit card transactional surcharges, or foreign exchange differences resulting from localized payment processing are borne entirely by the Customer.
- 5.3. Adjustment Liberty: DDK maintains the absolute right to alter, modify, or increase international storefront retail pricing structure without notice to counter seasonal market fluctuations or changes in agricultural yield availability.
6. Logistics Force Majeure Exclusions
6.1. Definition of Event: DDK shall not be held contractually liable or legally responsible for any delay, performance failure, cold-chain disruption, or product spoilage resulting from an event of Force Majeure. Force Majeure events include, but are not limited to:

- 2.3. 礼品寄送排除:严禁国际客户利用本平台购买礼品并将其寄送给位于台湾境内的收件人。所有此类订单将在验证阶段被予以拒绝。
3. 按地区划分的海关、消费税及合规责任
- 3.1. 主要目标市场(中国大陆及香港特别行政区):由于特定的市场趋势和我们的高端消费者保护策略,订购目的地为中国和香港的客户完全免除清关责任。DDK 作为物流促进方;所有进口清关、自动海关申报、增值税(VAT)和消费税完全由 DDK 或其整合的物流代理直接承担、结算和结清。
- 3.2. 世界其他地区(所有其他获授权的目的地):对于中国、香港和台湾以外的所有其他获授权的国际司法管辖区,客户明确承担”登记进口商”的角色。客户独立承担法律责任,负责处理区域进口清关协议,并在入境点结算所有当地海关关税、消费税、清关经纪费以及特定国家/地区的税费。
- 3.3. 因海关原因导致投递失败(不包括中国/香港):对于中国和香港以外的目的地,若由于客户未能结算区域边境清关费用,或未能满足本地卫生或认证先决条件,导致快递包裹被外国海关官员延误、扣押、退回或销毁,DDK 不承担任何责任。在此类情况下,一律不予批准退款。
4. 风险转移参数与所有权转移
- 4.1. 中国和香港的风险框架:为了与我们针对中国和香港升级的物流保障完全一致,DDK 在国际空运、仓库搬运和本地跨境运输的整个过程中,保留对奢侈货物的全部运输责任、经济风险和法律所有权。只有在客户指定的目标地址进行交付和签收验证的确切时刻,变质、产品解冻的风险以及所有权才会转移给客户。
- 4.2. 世界其他地区的风险框架:对于所有其他获授权的国际交付区域,在货物于 DDK 马来西亚运营设施移交给首家国际运输快递公司的确切时刻,物理损失、热降解或包裹损坏的风险将完全转移给买方。
5. 价格机制与货币界限
- 5.1. 标准货币矩阵:该数字平台上列出的所有标准价格均以美元(USD)或由 DDK 中央处理界面明确选择的其他法定货币面额计价。
- 5.2. 汇率波动:由于本地化支付处理而产生的任何财务差异、银行兑换费、信用卡交易附加费或外汇汇率差额,均完全由客户承担。
- 5.3. 价格调整自由:DDK 保留绝对权利,可在不另行通知的情况下更改、修改或提高国际店面零售价格结构,以应对季节性市场波动或农业产量的变化。
6. 物流不可抗力免责
6.1. 事件定义:对于因不可抗力事件导致的任何延迟、履约失败、冷链中断或产品变质,DDK 均不承担合同责任或法律责任。不可抗力事件包括但不限于:
- 自然灾害、严重台风、季风、地震或影响收获产量的自然农业枯萎病;
- 内乱、战争、恐怖主义行为、工人罢工、停工或区域贸易禁运;
- 全球或区域物流网络瘫痪、航空停飞、冷链电力中断或突然关闭边境;
- 国际卫生机构执行的未宣布的监管干预、紧急检疫调整或食品进口禁令。
7. 司法管辖权与条款可分割性
- 7.1. 管辖法律:本条款应受登记卖家主要经营司法管辖区的法律管辖、解释并执行,不考虑法律冲突原则。
- 7.2. 可分割性条款:如果本条款的任何条款、规定或分节被具有管辖权的法院认定为违法、无效或不可执行,该特定规定应被分割,其删除不影响其余规定的有效性和可执行性。
- 7.3. 修改权限:DDK 保留随时修改、变更或更新本条款的权利,恕不另行直接通知。在提交订单时处于激活状态的条款版本管辖该笔特定交易。
